INDEMNITY

            YOU AGREE TO DEFEND, HOLD HARMLESS, AND INDEMNIFY MatchLoan LLC AND ITS AFFILIATES FROM ANY LIABILITY, LOSS, CLAIM AND EXPENSE, INCLUDING REASONABLE ATTORNEYS FEES, RELATED TO YOUR VIOLATION OF THESE TERMS OF USE.

Arbitration Clause

            The terms and conditions of use of this Web site shall be governed by Wyoming law, without regard to any conflict of law.  In the event of a dispute, you and MatchLoan LLC agree to resolve the dispute in binding arbitration and not in a court or by jury trial.  You agree to waive any right you may have to arbitrate a dispute as a class action. Any civil action, dispute, or other proceeding arising out of your use or Terms of Use of this Web site, except for an injunctive action regarding any breach or threatened breach to the Terms of Use, shall be referred to final and binding arbitration before a single arbitrator under the American Arbitration Association’s rules for conducting arbitration in Cheyenne, Wyoming.  If you and MatchLoan LLC are unable to find an arbitrator to our mutual satisfaction within 30 days after the notice of arbitration is given, then the American Arbitration Association shall select the arbitrator.  Until the prevailing party is determined or the parties have agreed in writing to the allocation of the arbitrator’s fees and costs, the party who requested the arbitration is responsible for paying all fees that the arbitrator may from time to time require.  The arbitrator’s findings are binding and may be entered in any court of competent jurisdiction.

Waiver

            No waiver of the rights of MatchLoan LLC shall be binding upon MatchLoan LLC unless executed in writing by a duly authorized representative of MatchLoan LLC.  MatchLoan LLC reserves the right to choose whether to enforce the Terms of Use on website users as it sees fit.  The failure of MatchLoan LLC to enforce any provision at any given time will not constitute a waiver of future enforcement of that provision.

Severability

            If any portion of these terms and conditions is held to be unenforceable, invalid or void, then  the entire Terms of Use are not void.  MatchLoan LLC will enforce the term or condition at issue as much as possible, or sever that term or condition from this agreement and the remaining terms and conditions continue in full force and effect.

Changes to These Terms of Use
